  1. THIS IS A CONTRACT. BY DOWNLOADING SOFTWARE YOU ACCEPT ALL THE TERMS 
  2. AND CONDITIONS OF THIS AGREEMENT.

  4. This Key Technology Pty Ltd ("Key Technology") End User License 
  5. Agreement (the "Agreement") accompanies a Key Technology software 
  6. product (the "Software").
  7.  
  8. Key Technology grants you a non-exclusive license to use the 
  9. Software, provided that you agree to the following:
  10.  
  11. 1. Copyright
  12. The Software is owned by Key Technology, and its structure and code 
  13. are the valuable trade secrets of Key Technology. You agree not to 
  14. modify, adapt, translate, reverse engineer, decompile, or otherwise 
  15. attempt to discover the source code of the Software.
  16.  
  17. 2. No Warranty
  18. YOU ACKNOWLEDGE THAT THE SOFTWARE IS SUPPLIED ON AN "AS-IS" BASIS, 
  19. AND KEY TECHNOLOGY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, 
  20. INCLUDING, WITHOUT LIMITATION, AS TO NON-INFRINGEMENT OF THIRD PARTY 
  21. RIGHTS, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. 
  22. IN NO EVENT WILL KEY TECHNOLOGY BE LIABLE TO LICENSEE FOR ANY 
  23. CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST 
  24. PROFITS OR LOST SAVINGS, EVEN IF REPRESENTATIVES OF SUCH PARTIES 
  25. HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY 
  26. CLAIM BY ANY THIRD PARTY.

  28. 3. Transfer & Termination of Use
  29. You may not rent, lease, sublicense or lend the Software.
  30.  
  31. If this is an evaluation copy of the Software, you may freely 
  32. distribute it as such. Evaluation software is clearly identified by 
  33. the accompanying documentation and, where applicable, help screen. 
  34. If you are unsure of the status of the Software, contact Key Technology 
  35. at info@keytech.com.au to confirm its status.

  37. 4. Governing Law and General Provisions
  38. This Agreement will be governed by the laws in force in the State of 
  39. Queensland, Australia. This Agreement will not be governed by the 
  40. United Nations Convention on Contracts for the International Sale of 
  41. Goods, the application of which is expressly excluded. This Agreement  
  42. shall automatically terminate upon failure by you to comply with its 
  43. terms. This Agreement may only be modified in writing signed by an 
  44. authorized officer of Key Technology.
